1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer,” “User,” or “you”) and MHD Logistics LLC (“Company,” “we,” “us,” or “our”), a division of the Mohsin Haider Darwish (MHD) Group.

By accessing our website, booking a shipment, requesting a quote, or utilizing our freight, warehousing, or customs brokerage services, you agree to be bound by these Terms. If you do not agree to these Terms, you must immediately discontinue use of our services.

2. Scope of Services

MHD Logistics acts as a logistics provider, freight forwarder, and transport operator. We reserve the right to:

  • Select the route, method, and means of transport at our sole discretion unless specifically agreed otherwise in writing.
  • Subcontract any part of the carriage, handling, or warehousing to third parties (including our joint venture partners like Duqm United Logistics LLC).
  • Refuse any shipment that we deem unsafe, illegal, or financially risky.

3. Customer Obligations & Warranties

To protect our operations, you represent and warrant that:

  • Accuracy: All descriptions, values, weights, and dimensions provided for the cargo are accurate. MHD Logistics reserves the right to re-weigh and re-measure any shipment. If the actual weight/volume exceeds the declared amount, you will be liable for the additional charges plus an administration fee.
  • Packaging: You have prepared and packed the goods securely and sufficiently to withstand the ordinary risks of transport. We are not liable for damage resulting from insufficient packaging.
  • Legality: The cargo does not contain prohibited items, contraband, or undeclared hazardous materials.
  • Authority: You are the owner of the goods or the authorized agent of the owner and have the authority to accept these Terms for them.

4. Payment Terms & Charges

  • Quotations: Quotes are estimates based on current rates and the information you provided. They are subject to change based on actual weight, volume, currency fluctuations, or fuel surcharges at the time of shipment.

  • Payment Due: Unless a credit account is approved in writing, all charges must be paid in full prior to the release of cargo.

  • Late Payments: Overdue amounts shall accrue interest at a rate of 2% per month (or the maximum allowed by Omani law), calculated daily.

  • Duties & Taxes: The Customer is solely responsible for all duties, taxes, fines, or storage fees levied by customs or other authorities. We will not release goods until such charges are reimbursed.

5. Right of General Lien (Crucial Protection)

We shall have a general lien on all goods and documents in our possession for any and all sums due at any time from the Customer. If payment is not made within 30 days of notice, MHD Logistics reserves the right to sell the goods by public auction or private treaty to recover the debt, storage costs, and administrative expenses.

6. Liability & Limitation of Liability

READ THIS SECTION CAREFULLY. IT LIMITS OUR LIABILITY TO YOU.

A. No Consequential Damages

Under no circumstances shall MHD Logistics be liable for any indirect, special, incidental, or consequential damages, including but not limited to loss of profit, loss of market, loss of business, or production delays, regardless of whether we had knowledge that such damages might be incurred.

B. Liability Caps

Unless a higher value is declared in writing and additional insurance is purchased through us:

  • Our liability for loss or damage to goods is strictly limited to the lesser of:

    1. The actual value of the goods; or

    2. OMR 1.000 per kilogram of gross weight of the goods lost or damaged.

  • We are not liable for delay in delivery. Delivery dates are estimates only and are not guaranteed.

C. Specific Exclusions

We are not liable for loss or damage caused by:

  • Force Majeure: Acts of God, war, terrorism, sandstorms, floods, strikes, civil unrest, or port congestion.
  • Inherent Vice: Natural deterioration or wastage of perishable goods (e.g., food, pharmaceuticals) unless caused by our proven negligence in maintaining agreed temperature controls.
  • Customer Fault: Improper packing, loading, or incorrect labeling by the Customer.

7. Indemnification

You agree to indemnify, defend, and hold harmless MHD Logistics, its affiliates, officers, directors, and employees from any claims, liabilities, damages, fines, or expenses (including legal fees) arising out of:

  • Your breach of these Terms.
  • Your violation of any law or the rights of a third party.
  • Shipment of prohibited or dangerous goods.
  • Claims made by customs authorities regarding your shipment.

8. Claims Procedure

To limit lingering liability, strict time limits apply:

  • Visible Damage: Must be noted on the delivery receipt immediately upon delivery.
  • Concealed Damage: Must be reported in writing within 3 days of delivery.
  • Non-Delivery: Claims must be submitted within 14 days of the scheduled delivery date.
  • Legal Action: Any legal suit against MHD Logistics must be filed within one (1) year from the date of delivery or the date the goods should have been delivered, otherwise, the claim is permanently time-barred.

9. Dangerous Goods

You must disclose if your shipment contains dangerous goods (as defined by IATA, IMDG, or ADR regulations) prior to booking. If you fail to do so, MHD Logistics reserves the right to destroy, abandon, or render harmless the goods without compensation to you, and you shall be liable for all resulting costs and damages.

10. Warehousing & Storage

If we store goods for you:

  • Goods are stored at your sole risk regarding loss or damage from fire, theft, or elements, unless caused by our gross negligence.
  • You must maintain your own insurance for stored goods.
  • If goods are not collected within the agreed timeframe, we reserve the right to charge demurrage/storage fees or dispose of the goods after notice.

11. Governing Law & Jurisdiction

These Terms shall be governed by the laws of the Sultanate of Oman. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the Primary Commercial Court in Muscat, Oman.

12. Severability & Waiver

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
